Introduction
Thank you for using Black Indies, a digital platform dedicated to showcasing urban culture, creativity, and entertainment. Black Indies offers video sharing, livestreaming, on-demand rentals, and monetization tools for independent content creators, filmmakers, and fans. These Terms of Service (“Terms”) govern your use of the Black Indies platform and any features, services, and tools we provide (collectively, the “Service”).

By using the Service, you agree to be bound by these Terms, including our Community Guidelines, Copyright Policy, and Privacy Policy. If you do not agree, do not use the Service.

1. Who Can Use the Service

Age Requirements
You must be at least 13 years old to use Black Indies. If you're under 18, you must have permission from a parent or guardian. By allowing your child to use the platform, you agree to these Terms and take responsibility for their actions on the platform.

Businesses & Creators
If you are using Black Indies on behalf of a business, brand, or organization, you confirm you have the authority to bind that entity to these Terms.

2. Your Use of the Service

Content Ownership & Responsibility
You retain ownership of any content you upload or stream on Black Indies, including videos, audio, artwork, and branding. However, you are solely responsible for your content’s legality and compliance with our policies.

License to Black Indies
By uploading content, you grant Black Indies a non-exclusive, royalty-free, worldwide license to use, distribute, display, and promote your content for the operation and improvement of the Service.

License to Other Users
You also grant Black Indies users a limited, non-exclusive right to access and view your content as enabled by platform features (e.g., embeds, rentals, livestreams).

3. Monetization

Right to Monetize
Black Indies may monetize your content through ads, rentals, subscriptions, or other means. If you're enrolled in a creator monetization program (e.g., rentals, pay-per-view, ad revenue sharing), your payments and rights will be governed by the applicable agreement or dashboard settings.

NSFW and Age-Restricted Content
Black Indies allows age-restricted or NSFW content in designated categories. Such content must be properly tagged, comply with legal standards, and not violate our Community Guidelines. Black Indies reserves the right to restrict visibility or disable monetization for NSFW material at its discretion.

4. Prohibited Conduct

You agree not to:

  • Post illegal, harmful, hateful, nudity, porn or infringing content.

  • Use bots, automation, or deceptive tactics to inflate views, likes, or metrics.

  • Bypass any access controls or attempt unauthorized access.

  • Use Black Indies for spam, scams, or mass solicitation.

  • Host or link to malware, phishing, or viruses.

5. Copyright Protection

We respect copyright laws and respond to valid DMCA takedown requests. If you believe your content was misused or removed in error, you may file a counter-notice. Repeat infringers may lose account access.

6. Account Suspension & Termination

Black Indies may suspend or terminate your account if you:

  • Repeatedly violate these Terms or Community Guidelines,

  • Submit or promote harmful or illegal content,

  • Engage in fraudulent, abusive, or disruptive behavior.

You may close your account at any time through your account settings.

7. Software and Open Source

Any software provided by Black Indies is licensed for your use of the platform only. You may not reverse-engineer, distribute, or modify our software unless specifically allowed under open-source terms.

8. Limitation of Liability

We provide the Service "as is." Black Indies disclaims warranties of merchantability, fitness, or accuracy. We are not liable for lost profits, data, or damages arising from platform use, even if we were advised of the possibility.

9. Indemnification

You agree to indemnify and hold harmless Black Indies, its officers, partners, and affiliates from claims, damages, or costs arising from your use of the Service or violation of these Terms.

10. Governing Law & Legal Claims

These Terms are governed by the laws of the State of Arizona, USA. You agree to resolve any disputes in the courts located in Maricopa County, Arizona.

Any legal claim related to these Terms must be filed within one (1) year or it is permanently barred.

11. Changes to These Terms

We may update these Terms periodically. We will notify users of material changes and allow them time to review. Continued use of the Service after changes means you accept the new Terms.

12. Final Notes

These Terms constitute the entire agreement between you and Black Indies. If any part is deemed unenforceable, the rest remains in effect.
